IMPORTANT: PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING THE BATTLEWARZ WEBSITE AND SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE OUR SERVICES.

These Terms of Service ("Terms") govern your access to and use of the Battlewarz website, applications, and services (collectively, the "Services") provided by Battlewarz ("we," "us," or "our").

1. ACCEPTANCE OF TERMS

By creating an account, participating in battles, voting, or otherwise using the Services, you affirm that you are at least 13 years old and agree to comply with these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. YOUR BATTLEWARZ ACCOUNT

You need to register for an account to participate in battles and access certain features. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and accept all risks of unauthorized access to your account.
• Promptly notify us if you discover or suspect any security breaches related to the Services or your account.
• Be solely responsible for all activities that occur under your account, including the content you submit.

You may only maintain one active account. We reserve the right to suspend or terminate accounts we suspect are duplicates or are being used in violation of these Terms.

3. USER CONDUCT AND RESPONSIBILITIES

You agree not to use the Services to:

• Submit, post, or transmit any content (including verses, comments, or profile information) that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services).
• Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services.
• Use any automated means (e.g., bots, scrapers) to access the Services, collect information, submit content, or manipulate voting, rankings, or battle outcomes.
• Violate any applicable local, state, national, or international law.
• Promote illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous.
• Infringe upon or violate our intellectual property rights or the intellectual property rights of others.

We reserve the right, but have no obligation, to monitor disputes between users and to remove content or suspend/terminate accounts for violations of these conduct rules.

4. USER-GENERATED CONTENT (VERSES, COMMENTS, ETC.)

Ownership and License

You retain ownership of the copyright and other intellectual property rights in the content you submit to the Services ("User Content"), such as your rap verses. However, by submitting User Content, you grant Battlewarz a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services and Battlewarz's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels.

You also grant each user of the Services a non-exclusive license to access your User Content through the Services, and to use, reproduce, distribute, display and perform such User Content as permitted through the functionality of the Services and under these Terms.

Responsibility

You are solely responsible for your User Content and the consequences of submitting and publishing it. You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish the User Content you submit; and you license to us all patent, trademark, trade secret, copyright or other proprietary rights in and to such User Content for publication on the Services pursuant to these Terms.

You further agree that User Content you submit will not contain third-party copyrighted material, or material that is subject to other third-party proprietary rights, unless you have permission from the rightful owner of the material or you are otherwise legally entitled to post the material and to grant us all of the license rights granted herein.

We do not endorse any User Content or any opinion, recommendation, or advice expressed therein, and we expressly disclaim any and all liability in connection with User Content. We reserve the right to remove User Content without prior notice if it violates these Terms or is otherwise deemed inappropriate.

5. BATTLE AND VOTING RULES

• Battles must adhere to the specific rules set for that battle type (e.g., time limits, word counts, theme restrictions).
• Voting should be based on skill, lyrics, flow, and overall performance as perceived by the voter.
• Any attempt to manipulate votes (e.g., using multiple accounts, automated scripts, vote trading rings) is strictly prohibited and may result in disqualification, account suspension, or permanent ban.
• Battlewarz reserves the right to review battle outcomes and voting patterns for fairness and may, at its sole discretion, adjust results or take action against users violating these rules.
• Specific rules for different battle formats and tournaments will be posted on the relevant pages and are incorporated into these Terms by reference.

6. LEADERBOARDS AND RANKINGS

Leaderboards and rankings are calculated based on proprietary algorithms involving wins, losses, points earned, votes received, and potentially other factors. These rankings are provided for informational and entertainment purposes. We strive for accuracy but do not guarantee the absolute precision or real-time update status of rankings. We reserve the right to adjust rankings or algorithms at any time.

7. INTELLECTUAL PROPERTY

The Services and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music, and User Content belonging to other Users (the "Battlewarz Content"), and all Intellectual Property Rights related thereto, are the exclusive property of Battlewarz and its licensors (except for your User Content). Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any Battlewarz Content.

8. TERMINATION

We may terminate or suspend your access to all or part of the Services, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

9. DISCLAIMERS

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. USE OF THE SERVICES IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM BATTLEWARZ OR THROUGH THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BATTLEWARZ, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THIS SERVICE. UNDER NO CIRCUMSTANCES WILL BATTLEWARZ BE RESPONSIBLE FOR ANY DAMAGE, LOSS OR INJURY RESULTING FROM HACKING, TAMPERING OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.

11. GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of the State of [Your State, e.g., Illinois], United States, without regard to its conflict of law provisions.

12. CHANGES TO TERMS

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
